Terms of Service

These Terms of Service ("Terms") govern your access to and use of SmartReplyHub (the "Service"). By creating an account, connecting your business accounts, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

You agree that these Terms form a binding agreement between you and SmartReplyHub. If you use the Service on behalf of a business or organization, you represent that you have the authority to bind that business or organization to these Terms.

2. Eligibility and Authority

You must be at least 18 years old and capable of entering into a binding contract to use the Service. You are responsible for ensuring that any business information you provide is accurate and that you have the right to connect the accounts and data you submit.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your credentials, browser sessions, and connected accounts. You are also responsible for all activity that occurs through your account, including any actions taken by team members you invite.

4. Connected Accounts and Meta Compliance

The Service integrates with WhatsApp, Instagram, and other Meta services through official APIs and related integrations. You are responsible for complying with Meta policies, platform rules, and all applicable laws when using the Service. We are not responsible for changes, suspensions, rate limits, or restrictions imposed by Meta or other third parties.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited messages, or content that violates platform policies.
• Transmit unlawful, harmful, abusive, harassing, deceptive, or fraudulent content.
• Infringe the intellectual property, privacy, or other rights of others.
• Attempt to gain unauthorized access to the Service or interfere with its operation.
• Upload malware, exploit vulnerabilities, or engage in abusive automation.
• Resell or misuse the Service in violation of these Terms or applicable law.

6. AI-Generated Content Disclaimer

The Service can generate automated replies based on the content you provide. AI output may be inaccurate, incomplete, outdated, or inappropriate. You are responsible for reviewing settings, flows, knowledge sources, and messages before relying on them or sending them to your customers.

7. Billing, Manual Payment, and Subscription Terms

Billing is currently handled manually unless we state otherwise in writing. Subscription requests may require bank or UPI transfer details, payment references, payment dates, and optional payment proof for review by our team. We may approve, reject, pause, or revoke access based on billing status, fraud concerns, or operational reasons. Unless required by law or expressly stated in a separate written policy, payments are non-refundable.

8. User Content and License to Operate the Service

You retain ownership of the content you upload or submit. You grant SmartReplyHub a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, display, and otherwise use that content solely to operate, secure, support, and improve the Service for you and your account.

9. Intellectual Property

The Service, including its software, interfaces, designs, logos, and branding, is owned by SmartReplyHub or its licensors and is protected by applicable intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred to you.

10. Suspension and Termination

We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, created a security or abuse risk, failed to pay, or used the Service in a way that could harm SmartReplyHub, other users, or third parties. Upon termination, your right to use the Service ends immediately, but certain provisions of these Terms will continue to apply as needed.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation, successful message delivery, or that AI-generated output will be accurate or suitable for your needs.

12. Limitation of Liability

To the maximum extent permitted by law, SmartReplyHub will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising from or related to your use of the Service.

13. Governing Law and Dispute Venue

These Terms are governed by the laws applicable to SmartReplyHub's principal place of business, without regard to conflict of law rules, unless a separate written agreement says otherwise. Any dispute venue or forum will be determined under applicable law or the parties' separate written agreement, if any.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
